What this flow does

Creates a new negotiation playbook using the AI chat, then reviews and refines each rule before using it for contract reviews.

Step 1

Step 1: Go to Playbooks

Click Playbooks in the left sidebar. This takes you to app.vallor.ai/playbook where all your playbooks are listed.

Step 2

Step 2: Create a new playbook

Click New playbook in the left panel. Give the playbook a descriptive name that reflects its purpose (for example, "MSA Vendor Standard Terms"). Then click Chat to open the AI writing assistant.

Step 3

Step 3: Describe your playbook in the chat

Type a detailed description of the playbook you want to create. The more specific you are, the better the output. Here is an example prompt:

Create a Master Services Agreement playbook with rules covering:
payment terms (30-day net, no more than 60), limitation of liability
(minimum 12 months fees, uncapped for data breach), GDPR data processing
(supplier must sign DPA, no AI training on our data), termination for
convenience (90 days notice), and governing law (Belgian or English law only).

The AI generates a full set of rules. Each rule includes:

  • Starting position — your preferred language

  • Fallback positions — acceptable compromises

  • Unacceptable positions — what you will not agree to

AI tip: The model processes your description and generates all rules in parallel. This typically takes 10–30 seconds depending on the number of rules requested.

Step 4

Step 4: Review the generated rules

Once complete, the AI shows a summary table of all rules created. Click through each rule and review the language. Adjust any positions that do not match your actual negotiation stance.

Step 5

Step 5: Add rules manually

Click New rule to add any rules the AI missed. For each rule, define:

  • Rule name and category

  • Starting position

  • Fallback positions

  • Unacceptable positions

Step 6

Step 6: Iterate using the chat

Use the Chat panel to refine the playbook without editing rules manually. Type follow-up instructions like:

Update the limitation of liability rule to require a minimum of 24 months fees.
Add a rule for intellectual property ownership.
Make the data processing rule stricter — no sub-processors without prior written consent.

Step 7

Step 7: Save and use

The playbook is ready. When creating a new Workspace for contract review, select this playbook to have the AI review the contract against these rules. The AI will flag deviations, suggest redlines, and propose counter-language based on your defined positions.

Tips & Workarounds

Tips & Workarounds

Tip: Playbooks can be written in any language (Spanish, French, Dutch, German, Bahasa, etc.). The AI will review contracts in that language accordingly.

Tip: The stronger and more specific your rules, the better the AI's redlines and counters will be. Vague rules produce vague output.

Note: There is no version history on playbook rules yet. Changes overwrite the previous version. Consider copying rule text externally if you want a backup.
